Uganda's renewable energy sector continues to attract significant investor interest, driven by the country's abundant natural resources, growing power demand, and a supportive regulatory environment. As independent power producers (IPPs) explore opportunities in solar, hydro, biomass and geothermal generation, understanding the licensing framework administered by the Electricity Regulatory Authority (ERA) is critical to project bankability and timely commissioning.
This article provides a practical overview of the ERA licensing regime, key considerations for power purchase agreements (PPAs), and common structuring pitfalls that project developers should anticipate.
The ERA Licensing Framework
The Electricity Regulatory Authority (ERA) is the primary regulator for the electricity sector in Uganda, established under the Electricity Act, Cap. 145 (as amended). ERA oversees licensing for generation, transmission, distribution, and sale of electricity. For renewable energy projects, the licensing process generally falls into three phases:
1. Feasibility and Siting Approval
Before submitting a full licence application, developers must obtain a siting permit or feasibility study approval from ERA. This initial step confirms that the proposed project location and technology type are viable and do not conflict with existing or planned grid expansions. ERA typically issues a notice of no objection or a provisional generation licence at this stage, valid for 12 to 24 months.
2. Generation Licence Application
The full generation licence application requires a comprehensive set of documents, including: environmental and social impact assessment (ESIA) certificate from the National Environment Management Authority (NEMA); grid connection impact study approved by the Uganda Electricity Transmission Company Ltd (UETCL); land title or proof of land rights; evidence of technical and financial capacity; and water use permit (for hydro projects). ERA reviews the application within 90 to 180 days and may impose conditions relating to tariff, construction timeline, and local content requirements.
ERA targets a 90-working-day review period for generation licence applications. In practice, developers should budget 6 to 12 months from initial submission to licence issuance, depending on the completeness of supporting documents and the outcome of public consultations.
3. Construction and Operating Licence
Once ERA issues the generation licence, the developer must obtain a construction permit before beginning site works. The construction phase is subject to periodic ERA inspections and milestone reporting. Following commissioning, an operating licence is issued, typically valid for the project's economic life (often 20 to 25 years), renewable on terms agreed with ERA.
Power Purchase Agreements: Key Considerations
The PPA is the cornerstone of any IPP project in Uganda. Under the current framework, most renewable energy projects enter into PPAs with UETCL as the sole offtaker, though provisions exist for direct sale to eligible customers under the open access regime. Developers should pay close attention to the following PPA clauses:
- Tariff structure: Standard PPAs use a levelised tariff denominated in USD, with a portion payable in Uganda shillings. The ERA sets tariff caps through periodic tariff reviews. Developers must ensure that the agreed tariff provides adequate return on equity and debt service coverage throughout the PPA term.
- Force majeure and change in law: These provisions are particularly important given Uganda's evolving regulatory environment. A robust change-in-law clause should provide for tariff adjustment or cost pass-through in the event of new legislation, taxes, or regulatory requirements affecting project economics.
- Curtailment and deemed energy: The PPA should clearly define curtailment rights, compensation for deemed energy, and the offtaker's obligation to take or pay. Grid constraints have historically caused curtailment losses for some IPPs, making this a critical negotiating point.
- Termination and step-in rights: Lenders will require that the PPA permits step-in rights and contains a termination regime that protects debt service. ERA must consent to any assignment or step-in, and the PPA should address assignment to lenders or a nominated agent.
Structuring Pitfalls to Avoid
Based on our experience advising IPPs and lenders on Ugandan renewable energy projects, developers should be aware of the following common structuring pitfalls:
- Premature land acquisition: Securing land without confirming ERA siting approval can result in stranded assets if the site is later found unsuitable or subject to competing claims. Land tenure disputes remain a significant source of delay and cost overrun.
- Underestimating ESIA timelines: The ESIA process, including public hearings and stakeholder engagement, often takes 8 to 14 months. Developers who proceed on the assumption that ESIA can be fast-tracked frequently face scheduling shortfalls and higher-than-expected mitigation costs.
- Weak local content planning: ERA's licence conditions increasingly include local content obligations—covering local employment, procurement, and technology transfer. Developers without a credible local content plan risk non-compliance during ERA's periodic audits, which can affect tariff adjustments and licence renewal.
- Ignoring the wheeling framework: For projects considering wheeling arrangements to private offtakers, the current regulatory framework for open access and wheeling charges remains under development. Developers should model wheeling scenarios conservatively and engage ERA early on wheeling tariff expectations.
Looking Ahead: 2025 and Beyond
The Ugandan government has signalled its intention to update the Renewable Energy Policy and the Electricity Act in 2025-2026, potentially introducing streamlined licensing pathways for small-scale renewables, enhanced feed-in tariff provisions, and clearer rules for captive power and net metering. Developers entering the market now should structure their projects with sufficient flexibility to adapt to these anticipated regulatory changes.
ERA has also accelerated its digital transformation, with an online licensing portal expected to reduce submission-to-approval timelines. Early adopters of the digital system report improved transparency and faster feedback on preliminary inquiries.
